History

At a Glance
In 1992, Ceridian Corporation emerged as an information services company from the restructuring of its predecessor company, Control Data Corporation, a computer services and manufacturing company founded in 1957.

However, Ceridian's history can be traced back to 1932, when IBM established the Service Bureau Corporation (SBC) to offer outsourced business services, including payroll, general ledger, and accounts payable services. As part of the settlement of an antitrust lawsuit against IBM, Control Data acquired the SBC in 1973, which became the forerunner of Ceridian's present-day human resource solutions businesses.

As a leading provider of outsourced payroll and human resources services, Ceridian has concentrated on becoming a global, single-source provider of solutions covering the full range of human resource administration and management. Ceridian has also applied its expertise in moving money and information electronically to create new capabilities for a growing number of arenas, including payment distribution and retail financial transaction services.

Ceridian has made investments in technology, product offerings and customer service to further its leadership as a business services provider. Highlights of significant transactions include:

1990 - 1999
1993
  • Purchased Systems Tax Service Inc. (STS), which helps companies pay taxes associated with their employee payrolls.

1995
  • Purchased Centrefile (now Ceridian in the UK), the largest outsourced payroll processing business in the United Kingdom. The transaction marked Ceridian's first acquisition of a human resources company outside the United States. 
  • Acquired Comdata Corporation, a provider of transaction processing and information services to the transportation and gaming industries.

1997
  • Sold the defense electronics business, Computing Devices International, to General Dynamics. 

1998
  • Established Ceridian Canada by purchasing the payroll outsourcing operations of Toronto Dominion Bank and Canadian Imperial Bank of Commerce. 
  • Swapped Comdata's gaming services operations to First Data Corporation in exchange for their transportation services business, NTS, and cash.
  • Purchased the LifeWorks portion of Boston-based Work/Family Directions, making Ceridian the leader in the Employee Assistance Program (EAP) market. 

1999
  • Acquired a majority interest in Stored Value Systems (SVS), making Comdata the largest provider of stored value cards in the United States. Comdata acquired the remaining interest in SVS in March of 2000. 
  • Purchased ABR Information Services, Inc., now Ceridian's benefits services organization, the largest third-party benefits administration company in the United States. 

2000 - Present
2001
  • Spun off 100 percent of Ceridian's Arbitron business to shareholders in a reverse spin transaction.

2002
  • Acquired GLS Benefits Services, enhancing benefits administration domain expertise and gaining entrance into the Total Benefits Outsourcing market.
  • Acquired HR Comply, a nationally pre-eminent compliance company.
  • Acquired IBM Commercial Employee Service Center-becomes the operational center for Ceridian's third generation HRO solution.
  • Comdata subsidiary SVS acquires minority interest in Salt Lake City-based Gift Card Solutions (GCS), an electronic cash card and check provider to restaurants and niche retailers.

2004
  • Acquired Recruiting Solutions International, Inc. (RSI), a leading provider of Web-based recruiting and workforce management solutions.
  • SVS acquired minority interest in ProfitPoint, a provider of integrated loyalty and gift card solutions to the small and mid-sized retailer and restaurant markets.
  • Ceridian strengthened its international market presence in Human Resource services through the acquisition of ITS Information Technology Systems Ltd, a leading provider of HR software solutions in Ireland.
  • Comdata acquired Princeton (N.J.)-based Datamark Technologies, Inc., a provider of integrated stored value and customer loyalty programs.

2005
  • Comdata acquired Tranvia, Inc., a merchant processor for credit, debit, pre-paid and e-commerce activities, significantly broadening Comdata's role as a leading issuer and process of business-to-business electronic payment services.

2006
  • Comdata purchased the remaining interest in SASH Management, LLC d/b/a Gift Card Solutions (GCS).
  • Comdata acquired Culver City, CA. based HQ Gift Cards, LLC. HQ provides management services mall, airport and casino gift card programs.
  • Ceridian acquired Leade Health, a leading health coaching firm specializing in the areas of weight management, stress management, tobacco cessation, and cardiovascular health.

2007
  • Comdata acquired Inter-Tax, Inc., a leading provider of paperless fuel tax services
  • Ceridian is acquired by Thomas H. Lee Partners and Fidelity National Financial. Ceridian common stock ceased trading on the NYSE before commencement of trading on November 9, 2007 and is delisted from the NYSE.
